00About these Terms#

These Terms of Service (the "Terms") are a contract between Growstack Inc., a North Carolina corporation doing business as Turgo.ai ("Turgo", "we", "us"), and the business that signs up for or uses Turgo ("Customer", "you"). They cover the Turgo platform, apps, APIs, workflows, AI agents and related services (the "Services").

You accept these Terms by clicking to agree, by signing an order form that refers to them, or by using the Services. If you accept for a company, you confirm you have authority to bind it. If you do not agree, do not use the Services.

If you have signed an order form or master agreement with Turgo, that document controls where it conflicts with these Terms. For processing of Personal Data on your behalf, the Data Processing Addendum controls over inconsistent provisions concerning that processing. These Terms control over incorporated policies unless a policy expressly states otherwise. Terms in your purchase orders or vendor forms do not apply unless Turgo expressly agrees to them in a document signed by an authorized representative.

02Business use and your promises#

2.1

The Services are for businesses. You must be at least 18 and use them for your business, not for personal, family or household purposes.

2.2

You may not use the Services if you are barred by sanctions or export laws, or if Turgo previously closed your account for a breach.

2.3

You promise that you have authority to accept these Terms, that the information you give us is accurate, and that your use of the Services complies with every law that applies to you and your business.

03Plans, term and renewal#

3.1

Your subscription runs for the period shown at checkout or on your order form (the "Subscription Term"). It renews automatically for the same length unless you cancel before the renewal date.

3.2

You can cancel a self-serve subscription in Settings > Billing, or through another cancellation method Turgo makes available for your plan. Cancellation takes effect at the end of the current Subscription Term unless your Order Form says otherwise.

3.3

For annual self-serve subscriptions, Turgo will provide renewal information as described at checkout or where required by applicable law. You are responsible for keeping your account and billing contact information current.

3.4

Free trials and free credits end on the date stated when you start them. If a trial converts to a paid plan, we will tell you before you are first charged.

04Accounts and security#

4.1

Keep your login details secure, and tell us promptly at info@turgo.ai if you suspect unauthorized access to your Turgo account.

4.2

You are responsible for everything done in your account, including by your Authorized Users.

4.3

Each login is for one named person unless your plan says otherwise.

4.4

You are responsible for the security of the accounts you connect and for granting only permissions needed for your intended workflows. Do not provide Turgo with passwords or credentials where an OAuth, token or other supported connection method is available. Turgo is not responsible for loss caused by unauthorized use of credentials under your control or by a security incident at a Third-Party Platform, except to the extent caused by Turgo's breach of these Terms or applicable law.

05Outreach and communications#

Turgo provides the tools. You decide who is contacted, on which channel and with what message, and you are the sender.
5.1

Lawful basis and consent. Before Outreach goes to anyone, you must have every consent, notice and lawful basis the law requires for that person and that channel. This includes, where they apply: CAN-SPAM, the TCPA and state telemarketing laws, GDPR and the UK GDPR, the ePrivacy rules and PECR, CASL, and India's Digital Personal Data Protection Act.

5.2

AI voice calls. Voice calls have their own rules in Section 6.

5.3

Email. Commercial email must comply with the laws that apply to the message and recipient. You must use accurate sender and routing information, non-deceptive subject lines, include any required advertising disclosure and valid physical postal address, provide a clear and functioning unsubscribe method, and honor opt-out requests within the period required by applicable law.

5.4

WhatsApp and SMS. You must follow the WhatsApp Business and Commerce Policies and carrier rules. Business-initiated WhatsApp messages need approved templates and the recipient's opt-in.

5.5

Account restrictions from automation. Automated activity carries a known risk: Third-Party Platforms may limit, prohibit, restrict, suspend or permanently ban automated activity or connected accounts, and may change or enforce their rules without notice. This risk applies to LinkedIn and other social accounts, email domains and sending addresses, WhatsApp or messaging numbers, ad accounts, phone numbers and other connected accounts. You are responsible for using each platform in accordance with its terms, policies, permissions and rate limits. Turgo is not responsible for restrictions imposed by a Third-Party Platform unless they result directly from Turgo acting outside the permissions you granted or from Turgo's breach of these Terms or applicable law.

5.6

Opt-outs and suppression. You must honor unsubscribe, do-not-call, consent-revocation and similar requests as required by applicable law. Where a person's request reasonably applies across multiple channels, campaigns or identifiers, you must apply the appropriate suppression across those channels and keep suppression information long enough to prevent prohibited re-contact.

5.7

Approvals and Autonomous Features. The Services let you require approval before Outreach goes out. If you turn approval off or switch on an Autonomous Feature, everything the Services then send, publish, call or launch is treated as done by you, exactly as if you had approved each item.

5.8

Content of your Outreach. You are responsible for every message, post, ad and call, including what it says about your products, prices and results.

5.9

Our right to pause. We may pause or block Outreach that we reasonably believe breaks the law, these Terms, our Acceptable Use Policy or a Third-Party Platform's rules, or that is drawing excessive complaints, bounces, spam reports or carrier concerns. Where legally permitted and reasonably practicable, we will tell you when we do.

06AI voice calling#

Turgo provides AI voice calling as part of the Services. We provide the technology and may build call processes to your instructions. You authorize the audience, workflow and calling configuration, you hold the required consents, and calls placed through your account are treated as initiated for your business.
6.1

What Turgo provides. Turgo provides software to design, schedule and run AI voice calls, and may build or configure call workflows, scripts and assistants on your instructions. You choose or authorize the audience, workflow, script, assistant, caller ID, schedule and automation settings. If you enable an Autonomous Feature, calls made under those settings are treated as initiated under your instructions and for your business.

6.2

Your approvals and consents. Before any call goes out, you must:

  • hold every consent the law requires from each person called, including prior express written consent where applicable to telemarketing calls that use an artificial, prerecorded or AI-generated voice;
  • check applicable national, state and internal do-not-call or suppression lists, and stop or suppress calls when required by law or by the recipient's request;
  • review and approve each script, assistant, workflow and automation setting before it goes live and after material changes;
  • provide any required in-call identification, disclosure and opt-out mechanism;
  • call only during lawful hours in the time zone of the person called;
  • use only caller IDs and numbers you own or are authorized to use, and comply with applicable registration, caller-ID, telecom and carrier rules.
6.3

Disclosure on every call. Each AI voice call must identify the business on whose behalf the call is made and disclose that the caller is an AI or automated voice agent. Where applicable law requires recording notice or consent, the required disclosure or consent must occur before recording begins.

6.4

Proof of consent. You must keep records sufficient to demonstrate each consent or other lawful basis for calling, including who agreed, to what, when, how and for which number, for at least four years or longer if applicable law requires. You must provide reasonable evidence of consent to Turgo promptly if we request it in connection with a complaint, carrier inquiry or compliance review.

6.5

Your responsibility. Turgo does not independently determine whether your audience, consents, scripts, calling hours or recording practices satisfy the laws that apply to you. You are responsible for calls placed under your instructions and settings, including claims arising from your contact lists, consent practices, caller identification, scripts or failure to honor opt-outs. Section 14.1 applies to third-party claims arising from those matters to the extent permitted by law.

6.6

What the AI says. A voice assistant generates its answers live, using AI Providers. It can misunderstand, say something inaccurate or go off-script. Section 8 applies to everything it says, and you are responsible for testing your assistant before use.

6.7

Our right to stop calls. We may pause your calls, block a number or suspend calling at once if you cannot show consent when asked, if we receive complaints, or if a carrier or regulator raises a concern. Fees and Credits are not refunded for calls paused for these reasons.

6.8

Numbers and carriers. Carriers and call-labelling apps may mark numbers as spam or block them. That is outside Turgo's control and is not a failure of the Services.

6.9

Recordings and transcripts. Call recordings and transcripts are Customer Data. Section 7 and our Data Processing Addendum apply to them.

07Your data and ownership#

7.1

You own your data and your Output. As between you and Turgo, you own Customer Data and Output. Turgo assigns to you whatever rights it has in Output.

7.2

Our licence to your data. You give Turgo a limited licence to host, copy, process and transmit Customer Data only to provide, secure and support the Services and to meet legal obligations.

7.3

No training on your data. Turgo does not use Customer Data or Output to train or fine-tune Turgo's general-purpose artificial intelligence models unless you expressly opt in or otherwise agree in writing. Where Turgo uses third-party AI Providers to deliver the Services, Turgo uses applicable business or API services and contractual or technical controls designed to prevent Customer Data from being used to train those providers' general-purpose AI models, except where you have expressly authorized that use.

7.4

Personal Data. Where Turgo processes Personal Data on your behalf in providing the Services, Customer acts as controller and Turgo acts as processor to the extent those roles apply. The Turgo Data Processing Addendum ("DPA") applies to that processing and forms part of these Terms. Turgo's current Subprocessors and related transparency information are available on our Subprocessors & Third-Party Integrations page.

7.5

Usage data. Turgo may use aggregated or de-identified information about how the Services are used to operate, secure, analyze and improve the Services, provided that the information does not reasonably identify Customer, its users or contacts. Turgo will not attempt to re-identify information that has been de-identified for this purpose.

7.6

Your responsibility for data. You confirm you have the right to upload Customer Data and to have it processed as these Terms describe.

7.7

Sensitive Data. Do not upload Sensitive Data, including health information, full payment card data, government identification numbers or biometric information, unless the applicable feature is expressly designed for that data and Turgo has agreed in writing to the required safeguards. Payment card information should be provided only through Turgo's authorized payment processor. You remain responsible for Sensitive Data uploaded in breach of this restriction.

7.8

Keep your own copies. Keep backups of Customer Data that matters to you. Turgo is not responsible for data deleted by you or your users, or lost at a Third-Party Platform.

7.9

Feedback. If you send us ideas or suggestions, we may use them freely without paying you.

7.10

Turgo's property. Turgo and its licensors own the Services, software, underlying models, platform technology, pre-existing workflows, templates and Documentation. You retain ownership of Customer Data, Output and customer-specific materials you create, subject to Turgo's rights in its underlying technology and pre-existing materials. Apart from the rights expressly granted in these Terms, nothing is transferred to either party.

7.11

Publicity. We will use your name or logo as a customer only with your written permission, which you can withdraw at any time.

08AI-generated Output#

Output is produced by AI, including models run by third-party AI Providers. Turgo does not write or check it before you use it. You review it, you decide to use it, and you are responsible for it.
8.1

How Output is made. Output may be generated automatically using Turgo systems and third-party AI Providers. Turgo may select, route between or replace models as part of the Services. Current AI Providers that process Customer Data on Turgo's behalf are identified on our Subprocessors & Third-Party Integrations page. Turgo does not control what any model produces in a particular case.

8.2

No promise about Output. Output may be inaccurate, incomplete, out of date, biased, offensive or misleading. It may contain invented facts, names, figures, quotes or sources, and may be similar or identical to content produced for others. Turgo makes no promise that Output is accurate, original, lawful, suitable for any purpose or free of other people's rights.

8.3

Your review, your responsibility. Review Output before you send, publish, launch or rely on it. Once you use Output, or let an Autonomous Feature use it, it is your content and your responsibility. Turgo is not responsible for Output, or for any message, post, ad, call, decision or action based on it, whether the Output came from Turgo's systems or from an AI Provider.

8.4

Not professional advice. Output, reports, scores and recommendations are not legal, financial, tax, medical or other professional advice.

8.5

AI Provider rules. AI Providers have their own usage policies, and you must not use the Services to generate content those policies forbid. Turgo may change, add or remove AI Providers and models at any time, which may change the quality or style of Output.

8.6

Rights in Output. Turgo assigns you whatever rights it has in Output (Section 7.1), but does not promise that Output can be protected by copyright or that it does not infringe anyone else's rights.

8.7

Real people and disclosures. Do not present Output as written or said by a real person without their permission, and do not remove AI disclosures that the law or a platform requires.

8.8

AI transparency and synthetic content. Turgo may provide notices, labels, metadata, watermarks or other technical measures intended to identify AI interactions or AI-generated or AI-manipulated content. You must not remove or circumvent a disclosure or technical marking where applicable law or a Third-Party Platform requires it, and you are responsible for making any additional disclosure required when you deploy AI agents, publish synthetic content or use Output in your business.

8.9

Reporting. If Output appears harmful, unlawful or likely to violate another person's rights, stop using it and report it to info@turgo.ai.

09Lead data and enrichment#

9.1

Contact, company and intent data in the Services may come from Customer inputs, third-party data providers and public sources. Turgo does not promise that third-party or public-source data is accurate, complete or current. Additional information about relevant providers may be available on our Subprocessors & Third-Party Integrations page or in Documentation.

9.2

Intent signals, lead scores and estimates are predictions, not facts. Check them before relying on them.

9.3

You decide whether and how to use any contact. You are responsible for having a lawful basis to process and contact each person, for giving any privacy notice the law requires, and for handling their requests to access, correct, delete or stop processing their data.

9.4

You must not use lead data to decide on anyone's credit, employment, insurance, housing or other eligibility, or for any purpose covered by the US Fair Credit Reporting Act.

10Third-party platforms and providers#

10.1

When you connect a Third-Party Platform, you authorize Turgo to access and act in it for you, within the permissions you grant.

10.2

Your use of each Third-Party Platform is governed by that platform's own terms. Turgo does not control those platforms and is not responsible for their availability, changes, fees or decisions about your account.

10.3

Turgo relies on suppliers, including AI Providers, cloud providers, telephony carriers, email services and data providers. Subject to any service commitment in an applicable Order Form or SLA, Turgo is not responsible for outages, errors, changes, price increases or withdrawal of a third-party service outside Turgo's reasonable control, and may replace suppliers or integrations as the Services evolve.

10.4

Ad spend is charged by the ad platform to your account. You are responsible for the budgets, bids and campaigns you set, approve or let an Autonomous Feature launch, and for their costs and results.

10.5

If a Third-Party Platform limits, suspends or bans an account you connected, Section 5.5 applies.

11Fees, credits and taxes#

11.1

You will pay the fees for your plan in advance, using the payment method on file. Card and online payments may be processed by Stripe or another payment processor identified at checkout. Turgo does not store full payment card numbers submitted to the payment processor.

11.2

Credits. Credit allocations, reset dates, rollover rules and any expiration for plan or top-up Credits are those shown on the pricing page, at checkout or in your Order Form when the Credits are provided or purchased. Unless stated otherwise, Credits have no cash value, are not transferable between unrelated accounts and are not refundable when unused, except where Section 11.4 or applicable law requires.

11.3

Price changes. We may change prices for future terms. We will give at least 30 days' notice before a change applies to you, and it takes effect at your next renewal.

11.4

Refunds. Fees are non-refundable except as stated in our Refund Policy, in Sections 13.3, 15.1, 16.3 and 20.2, in an applicable Order Form, or where the law requires. If those documents provide different refund rights, the provision that specifically applies to the relevant charge or circumstance controls.

11.5

Late payment. If payment fails, we may suspend the Services after giving you at least 10 days' notice to fix it.

11.6

Taxes. Fees exclude taxes. You pay applicable taxes other than those on Turgo's income.

12Acceptable use and restricted uses#

You and your Authorized Users must not:

  • send spam, or contact people who have opted out or who you have no lawful basis to contact;
  • use the Services for anything illegal, deceptive, harassing or discriminatory, or to unlawfully exploit children or vulnerable persons;
  • use the Services for political campaigning, debt collection, emergency communications, or calls to emergency, healthcare or other numbers the law protects, unless Turgo expressly supports the use case in writing and all applicable legal requirements are met;
  • use the Services to make or materially support solely automated decisions about people's access to credit, jobs, housing, insurance, education, healthcare or essential services where prohibited by law or without legally required safeguards and human review;
  • use the Services for prohibited AI practices under applicable law, including unlawful manipulation, exploitation of vulnerabilities, prohibited social scoring, or prohibited biometric or emotion-recognition uses;
  • generate or send unlawful sexual, violent, hateful, fraudulent or infringing content;
  • upload malware or try to break, probe or overload the Services;
  • reverse-engineer the Services or try to extract models, prompts or source code, except where the law allows;
  • resell, sublicense or offer the Services to others without written permission;
  • get around usage limits, rate limits, safety systems, transparency measures or security controls;
  • use the Services to build a competing product using non-public Turgo materials or access;
  • breach the usage policies of any AI Provider or Third-Party Platform, or our Acceptable Use Policy.

13Beta features and availability#

13.1

Beta Features are provided as they are, may change or stop at any time, and may not work as expected. Turgo has no liability for Beta Features.

13.2

Unless an order form sets a service level, Turgo does not promise any level of availability or response time. We may carry out maintenance and will try to schedule planned downtime outside business hours.

13.3

We may change, add or remove features. If we remove a core feature of a plan you have paid for, you may cancel and receive a pro-rata refund of prepaid fees for the unused period.

14Indemnity#

14.1

By you. You will defend Turgo, its affiliates, suppliers and their staff against any third-party claim, investigation or demand arising from: your Customer Data; your Outreach and voice calls; Output you use; your use of Autonomous Features; your products and services; disputes between you and your contacts or Authorized Users; your breach of these Terms or of the terms of a Third-Party Platform or AI Provider; or your breach of law, including the TCPA, CAN-SPAM, GDPR and recording-consent laws. To the extent permitted by law, you will pay the resulting damages, settlements and reasonable legal fees, and any fines or penalties that may lawfully be indemnified.

14.2

By Turgo. Turgo gives an indemnity only where your signed order form says so, and only on the terms it sets out.

14.3

Process. Turgo will tell you promptly about a claim and cooperate reasonably at your cost. If you do not take over the defence promptly, Turgo may defend itself and recover its costs from you. You may not settle a claim in a way that admits fault for Turgo or binds it without Turgo's written consent.

15Warranties, disclaimers and liability#

15.1

Turgo will provide the Services with reasonable skill and care, and in line with our documentation in all material respects. If it does not, your only remedy is for Turgo to fix the problem or, if it cannot within 30 days, to end the affected Services and refund prepaid fees for the unused period.

15.2

Otherwise, the Services, Output and all third-party data are provided "as is" and "as available". To the extent the law allows, Turgo disclaims all other warranties, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the Services will be uninterrupted or error-free, or that they will produce any number of leads, replies, meetings, sales or other results.

15.3

To the extent the law allows, Turgo is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business, goodwill or data, however caused and even if Turgo was told they were possible.

15.4

To the extent the law allows, Turgo's total liability under or in connection with these Terms is limited to the fees you paid Turgo in the 12 months before the event giving rise to the claim, or USD 100 if you paid nothing.

15.5

Nothing in these Terms limits your payment obligations, your obligations under Sections 5, 6 and 14.1, liability for fraud, or any liability the law does not allow to be limited.

15.6

The exclusions and limits in this Section apply to claims arising from the acts or omissions of Turgo's affiliates, suppliers, AI Providers and subcontractors to the same extent they apply to Turgo, and apply even if a remedy fails of its essential purpose.

15.7

To the extent the law allows, any claim against Turgo must be brought within one year after it arises, or it is permanently barred.

16Suspension and termination#

16.1

Either party may end these Terms if the other materially breaches them and does not fix the breach within 30 days of notice.

16.2

We may suspend access immediately if we reasonably need to: to prevent harm to the Services, other customers or the public; to stop unlawful or complained-of Outreach; because a supplier, carrier or platform requires it; for non-payment after notice; or to comply with law. We will tell you why, and restore access once the problem is fixed.

16.3

We may stop offering the Services with at least 60 days' notice and a refund of prepaid fees for the unused period.

16.4

After termination, Turgo will provide a reasonable opportunity to export Customer Data where the applicable feature supports export. Turgo will then delete or anonymize Customer Data in accordance with the DPA and Turgo's documented retention practices, subject to backup cycles, suppression records, security logs, billing or tax records, legal holds and information Turgo is required or permitted to retain by law. Data retained for those limited purposes will remain protected under these Terms and will not be used for unrelated purposes.

16.5

Sections 5.5, 5.7, 5.8, 6, 7, 8, 9.3, 11 (for amounts owed), 14, 15, 16.4, 17, 18 and 21 survive termination.

17Confidentiality#

17.1

Each party will keep the other's non-public information confidential. Customer Data is Customer's Confidential Information. Each party will use the other party's Confidential Information only for this agreement, and share it only with staff, suppliers and advisers who need it and are bound by confidentiality duties at least as protective as those in this Section.

17.2

These duties do not cover information that is public through no fault of the recipient, already known to it, independently developed, or lawfully received from someone else, or information you choose to send to a Third-Party Platform.

17.3

A party may disclose information when the law requires it. Where allowed, it must give notice first.

17.4

These duties last for 5 years after the agreement ends, and for trade secrets as long as they remain trade secrets.

18Disputes, arbitration and class-action waiver#

18.1

Governing law. These Terms are governed by the laws of the State of North Carolina and the US Federal Arbitration Act, without regard to conflict-of-laws rules.

18.2

Talk first. Before starting arbitration, a party must send a written notice of the dispute to the other. Notices to Turgo must be sent to info@turgo.ai and identify the Customer account, the nature of the dispute and the requested resolution. Both parties then try to resolve the dispute in good faith for 60 days.

18.3

Arbitration. Any unresolved dispute arising from these Terms or the Services will be decided by binding individual arbitration administered by the American Arbitration Association ("AAA") under its then-current Commercial Arbitration Rules. There is one arbitrator, the seat is Raleigh, North Carolina, and hearings may be held by video unless the arbitrator determines otherwise.

18.4

Many similar claims. If claims qualify as a Mass Arbitration under the AAA's then-current Mass Arbitration Supplementary Rules, those rules and the applicable AAA fee schedule will apply. This clause does not convert individual claims into a class or representative action.

18.5

Exceptions. Either party may bring an individual claim in small-claims court, or seek a court injunction to protect its intellectual property or confidential information.

18.6

No class actions or jury trials. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding. Both parties waive trial by jury.

18.7

Opt-out. You may opt out of Sections 18.3 through 18.6 within 30 days of first accepting these Terms by emailing info@turgo.ai with your company name, account email and a clear statement that you are opting out of arbitration. Opting out does not affect the other provisions of these Terms.

18.8

Courts. Where a court proceeding is permitted under these Terms, the state courts located in Wake County, North Carolina and the applicable federal courts serving that county have exclusive jurisdiction, and each party consents to personal jurisdiction there.

19Privacy, security and copyright#

19.1

Our Privacy Policy explains how Turgo handles Personal Data when Turgo acts as a controller, including information relating to website visitors, account users and business contacts. Customer Data processed by Turgo on Customer's behalf is additionally governed by the DPA.

19.2

Turgo maintains information-security and AI-governance management systems and technical and organizational measures designed to protect Customer Data and govern AI risks. Where Growstack Inc. holds current ISO/IEC 27001:2022 or ISO/IEC 42001:2023 certifications covering the Services, the applicable certificate scope and status may be published on Turgo's website or provided during security review. Certifications describe management systems within their stated scope and do not expand the warranties in these Terms. No system is perfectly secure. Turgo will notify affected Customers of a confirmed Security Incident involving Customer Data as required by the DPA and applicable law.

19.3

Copyright complaints. If you believe material available through the Services infringes your copyright, send a written notice to info@turgo.ai identifying the copyrighted work, the allegedly infringing material, your contact information and the basis for your claim. Nothing in these Terms represents that Turgo has completed any particular statutory service-provider registration.

20Changes to these Terms#

20.1

We may update these Terms. For material changes that adversely affect existing Customers, we will provide at least 30 days' notice by email or in the product before the change takes effect, unless a shorter period is reasonably necessary to comply with law, address an urgent security or abuse issue, or respond to a required change by a Third-Party Platform or supplier. In those cases, we will provide as much notice as reasonably practicable.

20.2

If a material change to these Terms adversely affects your paid Services and you do not agree to it, you may notify Turgo before the change takes effect and terminate the affected Services. Turgo will refund prepaid fees for the unused portion of the terminated Subscription Term, unless the change is required by law or applies only to a free or Beta Feature.

20.3

Changes never apply to a dispute that either party raised before the change was posted.

21General#
